OFFICIAL RULES FOR THE TOYOTA’S “GAMEDAY GIVEAWAYS: GRAND PRIZE” SWEEPSTAKES

NO PURCHASE NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED.

1. The Toyota’s “Gameday Giveaways: Grand Prize” Sweepstakes (“Sweepstakes”) begins 11:59:59 AM Eastern Time (“ET”) September 4, 2024 and ends 11:59:59 PM ET January 7, 2025 ("Sweepstakes Period").
2. Open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years of age and have reached the age of majority in their jurisdiction of residence at the time of entry (each, an “Entrant”). Employees of Toyota Motor North America, Inc. (“Sponsor”), Saatchi & Saatchi, 14Four, NFL Entities, as defined below, Trymark Consulting Group, L.L.C. (“Administrator”), and their respective parents, affiliates, subsidiaries, advertising and promotion agencies, retailers, dealerships, distributors and suppliers and the immediate families (spouse, parents, children and siblings and their respective spouses, regardless of where they reside) and individuals living in the same households of such employees, whether or not related, are ineligible to enter, as defined below, or to win. Void where prohibited by law. Subject to all applicable federal, state and local laws and regulations.
3. During the Sweepstakes Period, you may enter by visiting http://toyotagamedaygiveaways.com/; then completing and submitting the official entry form by providing your first and last name, e-mail address, and phone number (including area code) to receive one (1) entry (each, an “Entry”). Submission of erroneous or incomplete personal information will void the submitted Entry. Limit one (1) Entry per person and per e-mail address for the duration of the Sweepstakes Period. If Entries are received in excess of the stated limitation from any person or e-mail address, only the first Entry received from such person or e-mail address will be eligible as an Entry. All Entries become the property of the Sponsor and will not be acknowledged or returned. Should multiple users of the same e-mail account enter the Sweepstakes, and a dispute thereafter arises regarding the identity of the Entrant, the authorized account subscriber of said e-mail account at the time of Entry will be considered the Entrant and required to comply with these Official Rules. “Authorized account subscriber” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization, which is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. By submitting an Entry, the Entrant consents to being contacted by text message or email if selected as the potential Grand Prize Winner, as defined below.
4. A random drawing will be conducted on or about January 8, 2025 to select one (1) potential Grand Prize winner (“Grand Prize Winner”), from among all eligible Entries received during the Sweepstakes Period. Drawing will be conducted by Administrator, an independent judging organization whose decisions are final and binding on all matters relating to the drawing. Odds of winning will depend on the total number of eligible Entries received.
5. Grand Prize (1): A trip for two (2) [one (1) Grand Prize Winner and one (1) guest] from 2/7/25 – 2/10/25 to attend the Super Bowl LIX (the “Event”) scheduled to take place on 2/9/2024 at the Caesars Superdome in New Orleans, LA (seat location to be determined by Sponsor). The Grand Prize consists of: (i) roundtrip coach commercial air transportation from a major U.S. gateway airport near winner’s residence (as determined by Sponsor) to New Orleans, LA; (ii) standard occupancy accommodations for four (4) days/three (3) nights at a hotel designated by Sponsor; (iii) ground transportation to/from destination hotel and airport and to/from Event and hotel; (iv) two (2) tickets to attend the Event; (v) a $500.00 travel stipend (awarded in the form of a $500.00 check) for winner only; and (vi) $5,000.00 intended to off-set tax implications (awarded in the form of a $5,000.00 check) for winner only (“Grand Prize”). Total maximum Estimated Retail Value (“ERV”) of Grand Prize is $50,000.00. Actual value may vary based upon location of departure city and other considerations. The value for travel portion of Grand Prize is an estimate made before the Sweepstakes Period begins. Travel must be completed on the dates specified above. If potential Grand Prize Winner is unable to complete travel on dates specified, the Grand Prize will be forfeited and Sponsor will have no further obligation to such Grand Prize Winner. Time permitting, Sponsor will use reasonable efforts to award the Grand Prize to an alternate winner. If Grand Prize Winner resides within a 100-mile radius of New Orleans, LA, ground transportation will be provided in lieu of air transportation, and no compensation or substitution will be provided for difference in Grand Prize ERV. If, for whatever reason, the Event is cancelled or postponed, no compensation or substitution will be provided, however remainder of Grand Prize will be awarded, and Sponsor shall have no further obligation to such Grand Prize Winner and the Grand Prize Winner will only be taxed for the portion of Grand Prize that is awarded. Travel arrangements must be made through Sponsor’s agent, on a carrier of Sponsor’s choice at least fourteen (14) days prior to travel. Travel is subject to capacity controls, availability, and certain other restrictions, all of which are subject to change. Grand Prize Winner and guest must travel together on the same itinerary, including the same departure date, destination and return date. No stopovers are permitted on airline tickets issued as a portion of the Grand Prize; if a stopover occurs, that portion of the Grand Prize will terminate at the stopover point and full fare will be charged for the remaining segments, including the return, of the trip portion of the Grand Prize. The “Released Parties” (as defined below) are not liable for any expenses incurred as a consequence of the cancellation or delay of any flight. Guest of Grand Prize Winner must be of legal age of majority in their state of residence (and at least 18), unless they are Grand Prize Winner’s child or legal ward. Guest (or Grand Prize Winner, if guest is Grand Prize Winner’s child or legal ward) must execute and return an affidavit/Declaration of eligibility and travel liability release and, where legal, a publicity release prior to travel. Grand Prize Winner and guest are responsible for obtaining all travel documents required by airline and must comply with all applicable hotel check-in requirements, such as presentation of a major credit card. Grand Prize Winner and guest must comply with all applicable venue rules and regulations. Sponsor reserves the right to deny participation or remove Grand Prize Winner and/or guest from any location or venue if either engages in illegal conduct or behaves in a disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at any location or venue or appear to be under the influence of drugs or alcohol.
   
   Grand Prize Winner will be responsible for all taxes (including federal, state, and local taxes) and any other costs and expenses associated with acceptance and use of the Grand Prize not described herein as being awarded, including but not limited to luggage fees, additional ground transportation, meals, gratuities and souvenirs. Grand Prize is not transferable, redeemable for cash, non resaleable, or substitutable except by Sponsor, which reserves the right, at its discretion, to substitute the Grand Prize or portion of the Grand Prize with one of comparable or greater ERV. All Grand Prize details are at Sponsor’s sole discretion. If Grand Prize Winner is found to be reselling the Event tickets, the entire Grand Prize will be forfeited.
   
   Sponsor and its respective parents, subsidiaries and affiliated companies (the "Toyota Entities") maintain no control over the personnel, equipment, or operation of any air, water or surface carrier, ship line, bus or limousine company, transportation company, hotel, restaurant, or other person or entity furnishing service, products, or accommodations as a part of the Grand Prize provided under this Sweepstakes, since Sponsor is merely an independent supplier of the Grand Prize and is not in any way related to the other suppliers. The Toyota Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience, or other irregularity that may be caused or contributed to (a) by wrongful, negligent, or unauthorized act or omission on the part of any of those suppliers or any of their agents, servants, employees, or independent contractors, (b) by any defect in or failure of any vehicle, equipment, instrumentality, service, product, or accommodation that is owned, operated, furnished, or otherwise used by any of those suppliers, (c) by the wrongful, negligent, or unauthorized act or omission on the part of any other person or entity not an employee of the Toyota Entities, or (d) by any cause, condition, or event whatsoever beyond the control of the Toyota Entities.
6. Potential Grand Prize Winner will be notified by phone, e-mail or text message (Data rates may apply. See wireless carrier for text message rates and capabilities). In the event that any e-mail or text message to potential Grand Prize Winner is returned as undeliverable or a response to any given e-mail, text message, or phone call/voice message is not received within three (3) days of date of its issuance or potential Grand Prize Winner is not in compliance with these Official Rules, the Grand Prize may be forfeited and, at Sponsor’s discretion, an alternate winner may be selected. Potential Grand Prize Winner will be required, in the sole discretion of the Sponsor and/or the Administrator, to execute and return an affidavit of eligibility and a liability release and, where legal, a publicity release and IRS Form W-9 within three (3) days of date of issuance of those documents or Grand Prize may be forfeited and, at Sponsor’s discretion, awarded to an alternate winner, if time permits. If Sponsor so elects, potential Grand Prize Winner may be required to submit to, and cooperate in, a confidential background check to confirm eligibility and to help ensure that the use of any such person in advertising or publicity for the Sweepstakes will not bring Sponsor into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Sweepstakes or the Sponsor as determined by Sponsor in their sole discretion. If requested, potential Grand Prize Winner will agree to such background check and understand and agree that Sponsor may disqualify potential Grand Prize Winner based on the results of the background check. In the event potential Grand Prize Winner is not in compliance with these Official Rules or Grand Prize or Grand Prize notification is returned as undeliverable, the Grand Prize may be forfeited, and, at Sponsor’s discretion, an alternate Grand Prize Winner may be selected, if time permits.
7. By participating, Entrants agree as follows: a) to abide by these Official Rules, and to the decisions of Sponsor and/or Administrator, which shall be final and binding in all respects; b) to the use of their name and/or likenesses and/or biographical data by Sponsor and its designees if selected as the Grand Prize Winner for advertising, promotional and other purposes in any or all media now or hereafter known throughout the world in perpetuity without compensation, permission or notification (except where prohibited by law); and c) THAT SPONSOR, SAATCHI & SAATCHI, 14FOUR, NFL ENTITIES (AS DEFINED BELOW), ADMINISTRATOR, AND ANY OF THEIR RESPECTIVE PARENTS, AFFILIATES, SUBSIDIARIES, ADVERTISING AND PROMOTION AGENCIES, DEALERSHIPS, RETAILERS, DISTRIBUTORS AND SUPPLIERS, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, AGENTS, AND EMPLOYEES (COLLECTIVELY, THE “RELEASED PARTIES”) SHALL HAVE NO LIABILITY AND SHALL BE HELD HARMLESS FOR ANY DAMAGE, LOSS OR INJURY TO AN ENTRANT OR ANY THIRD PARTY RESULTING FROM PARTICIPATION IN THIS SWEEPSTAKES, OR THE USE OR MISUSE OF THE GRAND PRIZE (INCLUDING ANY TRAVEL OR ACTIVITY RELATED THERETO). GRAND PRIZE IS AWARDED “AS IS” WITHOUT ANY REPRESENTATIONS OR WARRANTIES. Released Parties are not responsible for lost, delayed, interrupted or unavailable network, cable, satellite, Internet Service Provider (ISP), server or other connections, miscommunications, failed phone, computer or telephone transmissions or technical failure, jumbled, scrambled or misdirected transmissions, or other errors, problems or difficulties of any kind whether computer, network, human, mechanical, electronic, printing, typographical or otherwise relating to or in connection with this Sweepstakes, including, without limitation, errors, problems or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of Entries, the announcement of the prize or in any Sweepstakes-related materials or for any damage to Entrant’s or other person’s hardware or software as a result of participation. Released Parties are also not responsible for Entries, or mail that are late, incomplete, damaged, inaccurate, delayed, misdirected, undelivered, or garbled or delayed by computer transmissions and all such Entries are void. Persons found tampering with or abusing any aspect of this Sweepstakes as solely determined by the Sponsor and/or the Administrator will be disqualified, and their Entries will be void. Every Entry must be manually keystroked and manually entered by the individual Entrant and repetitive automated electronic submission of Entries is specifically disallowed. Use of script, macro or automated entry software or programs or any other means that subvert the Entry process is prohibited and all such Entries will be void. In the event the Sweepstakes is compromised by virus, bugs, worms, non-authorized human intervention or other causes which corrupt or impair the administration, security, fairness or proper play of the Sweepstakes, including but not limited to Acts of God, epidemic or pandemic, Sponsor reserves the right in its sole discretion to modify, suspend or terminate the Sweepstakes or any portion thereof and/or terminate the participation of any Entrant (and void all associated Entries) whose conduct potentially compromises the Sweepstakes and, if terminated, at its sole discretion to award the prize in a random drawing from among all eligible non-suspect Entries received prior to the act requiring such termination. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. CAUTION: Any attempt by an Entrant to damage the website or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws. Should such an attempt be made, Sponsor reserves the right to seek any and all remedies available to the fullest extent permitted by law. Sweepstakes is governed by the laws of the State of Texas without regard to its conflict of laws principals, with venue in Collin County, Texas.
8. EXCEPT WHERE PROHIBITED BY LAW, AS A CONDITION OF PARTICIPATING IN THIS SWEEPSTAKES, YOU AGREE THAT A) UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN AWARDS FOR, AND YOU HEREBY WAIVE ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT OF POCKET EXPENSES, IF ANY; B) ALL CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS SWEEPSTAKES, OR ANY COMPENSATION OR CREDIT TO BE PROVIDED, SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION AND EXCLUSIVELY BY FINAL AND BINDING ARBITRATION IN ACCORDANCE WITH THE FEDERAL ARBITRATION ACT (“FAA”, Title 9 of the United States Code) UNDER THE AUSPICES OF THE AMERICAN ARBITRATION ASSOCIATION; C) THE FEDERAL ARBITRATION ACT SHALL GOVERN THE INTERPRETATION, ENFORCEMENT AND ALL PROCEEDINGS AT SUCH ARBITRATION; AND D) JUDGMENT UPON SUCH ARBITRATION AWARD MAY BE ENTERED IN ANY COURT HAVING JURISDICTION. YOU HAVE A RIGHT TO OPT-OUT OF THIS ARBITRATION PROVISION. IF YOU DO NOT AGREE TO THIS MANDATORY ARBITRATION PROVISION WITH REGARD TO THIS SWEEPSTAKES, THEN WITHIN THIRTY (30) DAYS FROM THE DATE OF YOUR ENTRY, YOU MAY OPT-OUT OF THIS, AND ONLY THIS, PART OF THE OFFICIAL RULES BY NOTIFYING THE SPONSOR OF SUCH OPT-OUT REQUEST BY PROVIDING WRITTEN NOTICE AND MAILING SUCH NOTICE TO: TOYOTA’S “GAMEDAY GIVEAWAYS: GRAND PRIZE” SWEEPSTAKES – ARBITRATION REJECTION, P.O. BOX 295, GAINESVILLE, VA 20156. ANY OPT-OUT RECEIVED AFTER THE THIRTY (30) DAY TIME PERIOD WILL NOT BE VALID AND YOU MUST PURSUE YOUR CLAIM, IF ANY, VIA ARBITRATION PURSUANT TO THESE OFFICIAL RULES. ANY AND ALL CLAIMS, JUDGMENTS, AND AWARD SHALL BE LIMITED TO ACTUAL OUT OF POCKET COSTS INCURRED, IF ANY, AND IN NO EVENT SHALL YOU BE ENTITLED TO RECEIVE ATTORNEYS’ FEES OR OTHER LEGAL COSTS OR EXPENSES.
   
   IN THE EVENT THAT YOU OPT-OUT OF THIS MANDATORY ARBITRATION PROVISION, ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS SWEEPSTAKES SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, AND EXCLUSIVELY BY A FEDERAL OR STATE COURT LOCATED IN COLLIN COUNTY, TEXAS.
9. Information submitted in connection with the Sweepstakes will be treated in accordance with these Official Rules and Sponsor's Privacy Policy (as may be amended from time to time), currently located at https://www.toyota.com/support/privacy-notice/; provided, that in the event of any conflict between these Official Rules and such Privacy Policy, the terms and conditions of these Official Rules shall prevail. By participating, Entrants must read and agree to Sponsor’s Terms of Use, located at https://www.toyota.com/support/legal-terms/ and Privacy Notice (as described above), as well as the NFL Privacy Policy, located at https://www.nfl.com/legal/privacy. If Entrant does not check the applicable box on official entry form indicating Entrant’s agreement to the above, participant will not be entered into the Sweepstakes and cannot win the Grand Prize. Do not check the box without first reviewing these terms and policies.
10. The name of the Grand Prize Winner (available after February 1, 2025) and/or a copy of these Official Rules may be obtained by mailing a self-addressed, stamped #10 envelope to: Toyota’s “Gameday Giveaways: Grand Prize” Sweepstakes - Winner/Rules (please specify which), P.O. Box 295, Gainesville, VA 20156, for receipt no later than April 1, 2025. VT residents omit return postage on rules requests. Entrant irrevocably waives all claims against the National Football League, its member professional football clubs, NFL Ventures, Inc., NFL Ventures, L.P., NFL Properties LLC, NFL Enterprises LLC and each of their respective subsidiaries, affiliates, shareholders, officers, directors, agents, representatives and employees (collectively, the “NFL Entities”) and agrees that the NFL Entities will have no liability or responsibility for any claim arising in connection with participation in this Sweepstakes or the prize awarded. The NFL Entities have not offered or sponsored this Sweepstakes in any way.
